Let tell you a true story.
In the year nineteen hundred, there was a man named William John Howey who owned large citrus groves in Florida . Growing his own citrus to sell was also risky, so William Howey devised a better way to make money. Howey kept half of the land for his own use and sold the other half to interested people who wanted to start a citrus business but didn't know how to farm. The buyer of this land will sign a dong that after buying, this land will be handed over to Howey's company to cultivate for him, after harvesting, the profits will be divided among the land owners.
Howey advertised this form of operation through a resort hotel he owned and promised substantial profits. Most of the land buyers are not Florida residents or farmers. They are business people, inexperienced in the agricultural sector, and lacking the skills or equipment to take care of the land on their own.
In 1946, the SEC sued the company WJ Howey and this was a landmark case in US securities law. In this case, the United States Supreme Court reviewed the evidence as to whether the investment contract was a security under the Securities Act of 1933.
Defendants in the case include WJ Howey Co. and others involved in the sale of land in Florida, including the right to use the land for farming. Buyers are required to sublease the land to the defendants, who will manage the farming operations. The Supreme Court held that the transaction constituted an investment contract and contained a security, because the buyer was investing money in a joint business and expecting profits primarily from the efforts of others.
The court established the "Howey Test" as a definition of securities and investment contracts, which has since become a widely used standard in U.S. securities law. As defined by the Howey Test, an investment contract is a security when all four of the following are true:
(1) is an investment in money
(2) invest in a joint business
(3) investors expect profit
(4) profit mainly from the efforts of others
It is important for the SEC to prove that the above 4 things apply to a certain crypto, 1-3, the SEC will easily prove it, the fourth thing is controversial, the token price is based on 1 a certain unit or is it based on the law of supply and demand?
